DutyTask Terms and Conditions

The Italian text is the binding version. This English version is provided for convenience.

1. Provider

DutyTask is provided by:

2. Subject matter

DutyTask is a SaaS software service for operational management of company work.

Depending on the plan, the service lets you create and assign tasks, set due dates and recurrences, manage users and operational areas, record task status, report problems, attach files and photos, send notifications, consult reports and operational history, and use the other functions made available on the platform.

DutyTask is not legal, tax, employment, organisational or professional advice.

3. B2B use

DutyTask is intended primarily for businesses, professionals, bodies and other organisations that use the service in the course of their professional activity.

Whoever registers an organisation represents that they are authorised to do so and, if acting for a third party, that they have the necessary powers.

4. Account and Customer responsibility

Each organisation has an owner and may invite administrators and staff within the plan limits.

The Customer is responsible for properly managing users, their permissions and the information entered on the platform.

Credentials must be used only by the user to whom they are assigned.

The Customer must promptly report any suspicious access or compromise of credentials.

5. Free trial

On registration DutyTask offers a 14-day free trial of Pro functions with no payment card required.

Specific technical or quantitative limits may apply during the trial.

If the Customer does not subscribe, no automatic charge is made when the trial ends.

The organisation’s operational functions are limited until a plan is activated.

6. Plans

DutyTask currently offers the plans:

  • Start
  • Pro
  • Business
  • Enterprise

Start, Pro and Business can be purchased directly on the platform. Enterprise is subject to a custom offer.

Prices, duration, number of users, administrators, operational areas, functions and applicable limits are those shown on the pricing page or at checkout when you subscribe.

DutyTask may change the plans offered over time. Any economic changes to an existing subscription will be communicated before they apply to the next renewal.

7. Payments and renewal

Paid subscriptions are handled through Stripe.

Where available, the Customer may choose monthly or yearly subscriptions.

Unless cancelled, the subscription renews automatically at the end of the selected period.

The applicable amount is charged to the payment method associated with the Stripe account.

Any tax data requested must be provided correctly by the Customer.

8. Cancellation

The Customer may cancel the subscription using the billing-management functions made available through DutyTask and Stripe.

Unless a different indication is shown at cancellation, the subscription remains usable until the end of the period already paid and is not then renewed.

Amounts for periods already started or paid are not refundable, except for mandatory legal obligations, errors attributable to DutyTask, or a different decision of the Provider.

9. Retention after cancellation

After the subscription ends, the organisation’s operational data are normally kept for 6 months.

During this period the Customer may reactivate DutyTask and recover the environment and history previously kept.

At the end of the 6 months operational data are deleted, except information that must be kept for legal, administrative, tax obligations or to protect rights.

10. Early deletion of data

The organisation owner or an authorised person may request deletion of the organisation’s data before the six months expire.

DutyTask may request information needed to verify the requester’s identity and authority.

Deletion of the organisation is definitive and entails loss of operational data, history and attachments, except information that must be kept by law.

After definitive deletion it will not be possible to restore the organisation through DutyTask.

11. Changing plan

The Customer may switch to a different plan through the functions available on the platform.

Any price differences, start dates or pro-rata calculations are shown through the payment system before confirmation, where applicable.

Enterprise terms may include separately agreed limits, services, onboarding and prices.

12. Acceptable use

The Customer and users must use DutyTask in accordance with the law and these Terms.

It is forbidden, among other things, to:

  • use DutyTask for unlawful activity;
  • attempt to access organisations or data without authorisation;
  • circumvent technical or commercial limits;
  • interfere with the security or availability of the service;
  • distribute malware;
  • use credentials belonging to other users without authorisation;
  • use automated tools that place an abnormal load on the infrastructure;
  • attempt to reverse-engineer or decompile the software except as mandatorily permitted by law.

DutyTask may take reasonable measures to prevent abuse and protect the platform.

13. Customer data

The Customer retains rights in data and content uploaded to the platform.

The Customer grants DutyTask only the authorisations needed to store, process, transmit and display that content for the purpose of providing the service.

The Customer is responsible for the lawfulness of data entered and for having an adequate legal basis for processing data relating to its employees, contractors or other people.

The Customer undertakes not to use DutyTask to collect particularly sensitive data not needed for ordinary operational purposes, unless it has independently verified lawfulness and adopted the safeguards required by law.

Processing on behalf of the Customer. To the extent DutyTask processes Personal Data on behalf of the Customer as processor, the Data Processing Agreement available at /dpa applies and forms an integral part of this contract.

14. Operational history

DutyTask keeps a history of the main actions taken in connection with tasks.

Staff cannot arbitrarily alter or delete history events through the application’s normal functions.

Operational immutability of the history is not perpetual storage of the data.

Data are kept and deleted according to the Privacy Policy and these Terms.

15. Artificial intelligence

DutyTask uses AI systems for some functions, including task dictation and generation of the Daily AI Brief.

Automatically produced outputs may contain errors or inaccurate interpretations.

Dictation generates a proposal that must be reviewed by the manager before the task is confirmed.

The Customer is responsible for checking AI-generated content before using it to take operational decisions.

AI functions are not professional advice and must not be used as the sole basis for decisions with significant legal effects on people.

16. Third-party services

DutyTask’s operation also depends on services provided by third parties, currently including Supabase, Vercel, OpenAI and Stripe.

The Customer acknowledges that unavailability, changes or interruptions of those services may temporarily affect DutyTask.

DutyTask will take reasonable steps to limit those effects, but cannot guarantee continuous availability of infrastructure managed by third parties.

17. Availability and maintenance

DutyTask is developed and maintained with the aim of offering a reliable, ongoing service.

Uninterrupted, error-free availability, or fitness for any specific Customer need, is not guaranteed.

The service may be temporarily suspended or limited for maintenance, updates, technical problems, security needs, provider interventions or events outside DutyTask’s reasonable control.

18. Account suspension

DutyTask may suspend or limit access to the service in case of:

  • non-payment;
  • material breach of these Terms;
  • unlawful or abusive use;
  • a security risk;
  • unauthorised access attempts;
  • activity that may compromise the service or other users.

Where reasonably possible, the Customer will be informed and may remedy the breach before any definitive termination.

19. Intellectual property

DutyTask, its code, interface, structure, design, texts, trademarks and other elements of the service belong to GR SOLUZIONI DI GIUSEPPE RICCIO or are used under the related rights.

Subscription grants the Customer only a limited, non-exclusive, non-transferable right to use DutyTask for the duration of the relationship and within the purchased plan.

No ownership of the software is transferred to the Customer.

20. Liability

DutyTask is an operational-management support tool and the Customer remains responsible for its own company procedures, for checking work, and for decisions taken through the organisation.

To the extent permitted by law, DutyTask is not liable for indirect damages, lost profit, lost business opportunity, or consequences arising from inaccurate information entered by users, improper use of the service, failures of the Customer’s devices or connections, unavailability of third-party providers, or unverified use of AI-generated output.

Liabilities that cannot be excluded or limited by law remain, including those arising from wilful misconduct or gross negligence.

Except in those cases, DutyTask’s overall liability arising from the contractual relationship shall not exceed the amount actually paid by the Customer to DutyTask in the 12 months before the event giving rise to liability.

21. Force majeure

DutyTask is not liable for failure or delay due to events outside its reasonable control, including widespread telecommunications outages, infrastructure-provider failures, natural events, acts of authorities, conflicts, large-scale cyber-attacks or similar events.

22. Changes to the service

DutyTask may change, improve or replace service functions for technical, legal, security or product-evolution reasons.

Changes that substantially affect the Customer’s rights or the economic terms of a current subscription will be communicated with reasonable notice when the nature of the change so requires.

23. Changes to these Terms

These Terms may be updated.

The updated version is published on the site with the relevant date.

In case of material changes, DutyTask may also inform the Customer by email or in-app notice.

24. Governing law and venue

These Terms are governed by Italian law.

For any dispute relating to the validity, interpretation or performance of these Terms between DutyTask and a Customer acting in the course of its business or profession, the Court of Naples shall have exclusive jurisdiction, except where a mandatory rule of law provides otherwise.
